Board of Directors

The board size, board composition, and the board’s leadership structure are essential characteristics that affect the effectiveness of board management (corporate governance). The general board structure usually consists of a Chair, the Chief Executive Officer (CEO), external/independent board members (such as the auditor and legal adviser), and a board secretary.
The company believes that what matters most is know-how (tacit knowledge and the ability to employ critical thinking when making decisions and planning), the active role and social traits of the board, and the ability to develop successors who possess talent in the right positions.
The company’s CEO is responsible for providing direction for the business: creating, communicating, and implementing the organisation’s vision, mission, core values, and overall direction – meaning leading the development and implementation of the organisation’s overall strategy and achievements.
Additionally, the board of directors is accountable to the shareholders for the success or failure of the company.
